Terms of Service

These Terms govern access to and use of Guardexia (“the Service”). By creating an account or using the Service, you agree to these Terms.

1. Service

Guardexia provides software for automated reconciliations, exception workflows, attestations and audit evidence generation, including ingestion of files via secure transfer methods where configured.

2. No regulatory, legal, or accounting advice

Guardexia does not provide legal, regulatory, accounting or financial advice. You remain solely responsible for your compliance decisions, policies, controls and regulatory submissions. Outputs are informational and operational.

4. Trials, subscriptions, fees

A 14-day free trial may be offered. After the trial, continued use requires an active subscription and payment of applicable fees. Pricing is shown on the Pricing page and may change with notice for renewals.

5. Availability and support

The Service is provided on an “as available” basis. Support and SLAs (if any) depend on your plan and written agreement.

6. Data protection

Each party will comply with applicable data protection law. Please see the Privacy Policy for details on personal data processing.

7. Confidentiality

Each party will protect the other’s confidential information and use it only to provide or use the Service.

8. Intellectual property

Guardexia retains all rights in the Service. You retain rights in your data. You grant Guardexia a limited licence to process your data solely to provide the Service.

9. Limitation of liability

To the maximum extent permitted by law, Guardexia is not liable for indirect, consequential, special or punitive losses, or loss of profits, revenue, goodwill or data. Guardexia’s total liability is limited to the fees paid by you for the Service in the 12 months preceding the event. Nothing limits liability for fraud or other liability that cannot be excluded by law.

10. Termination

You may stop using the Service at any time. Guardexia may suspend or terminate access for non-payment, security risks, or material breach.

11. Governing law

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
